APPOINTMENT OF CHAIRPERSON OF THE AUDIT AND RISK COMMITTEE AND CONFIRMATION
OF BOARD CHAIRPERSON
In compliance with, and with reference to the corporate governance provisions of Section
5 and section 6.71 of the Listings Requirements, shareholders are advised of the following
changes to the Company's governance structures:
Mr. Farook Paruk has been appointed as Chairperson of the Audit and Risk Committee of
Labat, effective date of 20 April 2026. This appointment follows the Board's assessment of
the composition and functioning of the Audit and Risk Committee and is aligned with the
requirements of paragraph 5.7(g) of the Listings Requirements, which governs the role and
responsibilities of the audit committee. The Board confirms that a fit and proper
assessment has been undertaken in respect of Mr. Paruk and that it is satisfied with the
outcome of such assessment.
The Board further confirms that Ms. Mosibudi Bodirwa has been appointed as Chairperson
of the Board of Directors of Labat, effective date of 20 April 2026. Ms. Bodirwa has been
serving as interim Chairperson since 27 March 2025, which appointment had not previously
been announced. This appointment is aligned with the requirements of paragraph 5.7(d)
of the Listings Requirements. The Board confirms that a fit and proper assessment has been
undertaken in respect of Ms. Bodirwa and that it is satisfied with the outcome of such
assessment.
The Board welcomes Mr. Farook Paruk and Ms. Mosibudi Bodirwa in their respective roles
and looks forward to their continued contribution to the Company.
