MTN IHS TRANSACTION – PRO FORMA FINANCIAL EFFECTS

Shareholders are referred to the MTN Group announcement released on the Stock Exchange News
Service of the JSE Limited on Tuesday, 17 February 2026 - MTN Group agrees to acquire remaining
shares in IHS (the "Transaction") - and are advised that the voluntary pro forma financial
effects of the Transaction are available on our website (https://www.mtn.com/investors-
shareholders/?tablink=presentations-and-transcripts).

The pro forma financial effects are the responsibility of the directors of MTN Group and are
provided for illustrative purposes only. By their nature, they may not fairly present the Group's
financial position, results of operations, changes in equity or cash flows and have not been
