FINALISATION ANNOUNCEMENT REGARDING THE SPECIAL ORDINARY DIVIDEND

Shareholders are referred to Grindrod's reviewed results and dividend announcement for the
year ended 31 December 2025 released on SENS on 6 March 2026 ("Reviewed Results")
which included the declaration of a special ordinary dividend of 43.00000 cents per ordinary
share, subject to a local dividends tax for those shareholders who are not exempt from paying
dividend withholding tax.

The Reviewed Results stated that the special ordinary dividend was subject to Exchange
Control approval by the South African Reserve Bank and shareholders are now advised that
Exchange Control approval has been obtained.

The salient dates for the special ordinary dividend remain unchanged as declared in the
Reviewed Results.
