                    NOTICE TO SHAREHOLDERS OF TONGAAT HULETT LIMITED



In accordance with section 128 of the Companies Act, as amended, read together with sections 144(3)(a),
145(1)(a) and 146(a) of the Companies Act, shareholders are hereby advised to consider the below notice.

The Company and the joint Business Rescue Practitioners of the Company were granted leave to appeal ("the
appeal") by the Supreme Court of Appeal ("SCA") in Bloemfontein against the judgment of Honourable Judge
Vahed dated 4 December 2023 in the High Court of South Africa, KwaZulu Natal Local Division, Durban under
case number D4472/2023 ("the declarator application"). The appeal was heard by the SCA on 12 November
2025.

The SCA's judgment was handed down on 15 December 2025, which dismissed the appeal. A copy of the
declarator application, the notice of appeal and the SCA's judgment as referred to above is available on the
Company's website at https://www.tongaat.com/business-rescue/. The BRPs, together with their legal
advisers, are studying the SCA's judgment and will consider its implications for the business rescue
proceedings and determine any further steps. Further updates will be provided in due course.

All notices and documents vis-à-vis the business rescue proceedings of the Company that have been and/or
will be circulated to all known Affected Persons, are/will be published and made available to all Affected
Persons, on the Company's website at: www.tongaat.com, under the 'Business Rescue' tab.
