COMPETITION COMMISSION REFERRAL UPDATE

Noteholders are referred to the announcement published on SENS on 3 February 2022 relating to the referral
notice issued to Toyota Financial Services from the Competition Commission.

Toyota Financial Services and its shareholders (including Toyota South Africa Proprietary Limited and WesBank
- a Division of FirstRand Bank Limited) have been involved in litigation before the Competition Tribunal over the
past few years. The litigation arose from a customer complaint in 2001.

Toyota Financial Services is pleased to advise that the complaint has now been resolved and the relevant
parties in the litigation have entered into a settlement agreement with the Competition Commission, which has
been approved by the Competition Tribunal. In terms of the settlement agreement, TFSSA does not admit to
having contravened the Competition Act No. 89 of 1998, as amended, but will take certain actions to avoid
future complaints of a similar nature. A settlement amount of R30 million will be paid by TFSSA's shareholders.
