CANCELLATION AND DELISTING OF REPURCHASED SHARES


Shareholders are hereby advised that an application has been made to the JSE Limited
(“JSE”) for the cancellation and delisting of 2 012 260 shares (“Delisting”), which is
expected to occur on 25 October 2019.

The aforementioned shares were repurchased by a wholly owned subsidiary of the
Company during the period between 29 August 2019 and 10 October 2019 in
accordance with the general authority granted by shareholders at the Company’s
annual general meeting held on 7 November 2018, and represent 2.45% of the
Company's total issued share capital prior to the share repurchase.

Of the 2 012 260 shares, 5 305 shares were repurchased during a closed period, after
approval of the Company’s closed period share repurchase programme had been
received from the JSE in accordance with paragraph 5.69(h) of the Listings
Requirements of the JSE. as announced on SENS on 2 July 2019.

The number of issued Bowler Metcalf shares after the Delisting will be 80 114 674
ordinary shares of no par value.
