NOTICE OF CHANGE TO THE COMPOSITION OF THE MASSMART AUDIT AND RISK COMMITTEES
In accordance with paragraph 3.59 of the JSE Limited Listings Requirements, the Massmart Board of Directors
(the “Board”) wish to advise shareholders of the following:
CHANGE TO AUDIT AND RISK COMMITTEES
Ms Phumzile Langeni will resign as a member of the Massmart Audit and Risk Committees with effect from
21 May 2020 to focus on her other Massmart Board and Committee duties.
The Board extends its sincere thanks and appreciation to Ms Langeni for her valuable insight and contribution to
the Audit and Risk Committees and wishes her well as she focuses on her existing Board and Committee
duties.
Ms Langeni will remain Massmart’s Lead Independent Director; Deputy Chairman; Remuneration Committee
Chairman and member of the Nominations Committee. Ms Langeni’s institutional knowledge and deep insight
into Massmart’s business is significant to the Massmart Board.
