FINALISATION ANNOUNCEMENT IN RESPECT OF THE CASH DISTRIBUTION FOR THE YEAR ENDED 30 JUNE 2021


Universal Partners shareholders are referred to the cash distribution announcement released on the Stock Exchange
News Service ("SENS") of the JSE Limited ("JSE") and the website of the Stock Exchange of Mauritius Ltd ("SEM") on
Friday, 29 October 2021 regarding the declaration of a cash distribution of 20.7 GBP pence per share for the financial
year ended 30 June 2021.

Shareholders holding shares traded on the JSE will receive their cash distribution in South African Rand ("ZAR")
converted from Pound Sterling ("GBP") at an exchange rate of GBP 1.00 : ZAR 20.5376, being the rate at which
Universal Partners has fixed to convert from GBP to ZAR on 16 November 2021. Accordingly, the cash distribution of
20.7 GBP pence per share will be ZAR 4.25128. Shareholders holding shares traded on the SEM will receive their cash
distribution in Pounds Sterling.

Dividend tax (and therefore the information provided in this paragraph) is only of direct application to shareholders
holding shares traded on the JSE. The gross local distribution amount is ZAR 4.25128 for shareholders exempt from
paying dividends tax. The net local distribution amount is ZAR 3.40102 per share for shareholders liable to pay the
dividend tax rate of 20%.

The cash distribution will be paid from Mauritius and there is no withholding tax payable in Mauritius. However, the
distribution may have tax implications for shareholders holding Universal Partners shares on the Mauritian register.
The relevant shareholders are advised to consult their professional advisors regarding the tax consequences, in any,
of the distribution, should they be in doubt.

The salient dates and times announced on Friday, 29 October 2021 remain unchanged.

Universal Partners has its primary listing on the Official List of the SEM and a secondary listing on the Alternative
Exchange of the JSE.
