CHANGES TO THE BOARD OF DIRECTORS


It is with regret that the board of directors of Newpark (the “board”) advises shareholders that Howard Turner
has retired from his position as an independent non-executive director of the Company, effective from 24
November 2021. Prior to his retirement, Howard served on the board and its committees for a period of over
five years. He was chairman of the audit and risk and social and ethics committees and was a member of the
remuneration committee.

The board thanks Howard for his invaluable contribution to the Company and wishes him well in his
retirement.

Shareholders are further advised that Roy Charlton Campbell has been appointed to the board as an
independent non-executive director with effect from 25 November 2021. Roy will replace Howard as
chairman of the audit and risk and social and ethics committees.

Roy is a chartered accountant and currently self-employed in his corporate consultancy practice. He was
previously a senior audit partner at Deloitte & Touche and retired from public practice in August 2020. Roy
brings with him a wealth of experience in financial reporting, governance and corporate services and the board
welcomes him and looks forward to his future contributions to the Company.

The board will, in due course, seek to appoint an existing director as a member of the remuneration committee,
to fill the vacancy created by the retirement of Howard.
