CAUTIONARY ANNOUNCEMENT

Shareholders are advised that the board of directors of the Company ("Board") has initiated a process regarding a
potential delisting of Ascendis from the JSE, together with a conditional offer by the Company to repurchase the
Ascendis ordinary shares (excluding treasury shares) ("Shares") from those shareholders wishing to dispose thereof,
at a cash price of R0.97 per Share (the "Potential Repurchase Offer"), subject to, inter alia, it being confirmed fair, as
supported by a fairness opinion to be issued by an independent expert.

The terms of the Potential Repurchase Offer may have a material effect on the price of the Company's securities.
Accordingly, shareholders are advised to exercise caution when dealing in the Company's securities until a further
announcement is made.
