NOTICE OF ANNUAL GENERAL MEETING


Notice is hereby given to the shareholders of the Company that the Annual General Meeting of the Company
(“AGM”) will be held at Palazzo Towers West, Montecasino Boulevard, Fourways, 2055, South Africa on Thursday,
17 October 2019 at 10:00 (or soon thereafter as the Annual General Meeting of Hospitality Fund Limited convened
for 09:00 on the same day and at the same venue, shall have been concluded or adjourned), to transact the
business as stated in the Notice of the Annual General Meeting, incorporating consolidated annual financial
statements for the three years ended 31 March 2019 (“Notice of AGM”).

Shareholders are advised that the Notice of AGM has been distributed to Tsogo Sun Hotels shareholders and will
be available today, Thursday, 12 September 2019 on the Company’s website at
https://www.tsogosun.com/investors/financial-reports/2019.

The Board of Directors of the Company has determined, in accordance with Section 59 of the Companies Act, 71 of
2008, as amended, that the record date for the shareholders to be recorded as shareholders in the securities
register of the Company in order to (i) be entitled to receive the Notice of AGM is Friday, 6 September 2019, and
(ii) be entitled to attend, participate and vote at the AGM is Friday, 11 October 2019. Shareholders trading in the
shares of Tsogo Sun Hotels after Tuesday, 8 October 2019 will not be entitled to attend, participate and vote at the
AGM in respect of those shares.
