CONDITIONAL SHARE PLAN ("CSP"): DEALINGS IN SECURITIES BY THE COMPANY,
DIRECTORS AND THE COMPANY SECRETARY

Datatec announces the following in relation to its CSP share incentive
scheme. The CSP was approved by shareholders at the Company's annual
general meeting held on 14 September 2017.

   1) SETTLEMENT OF 2023 CSP

CSP awards were granted in June 2023 as announced on SENS on 2 June 2023. A
Total Shareholder Return ("TSR") performance condition applied to the whole
of the award.

The Remuneration Committee has determined that 100% of the June 2023 CSP
awards vested on 1 June 2026 as the performance condition was achieved.

Accordingly, an off-market transfer of Datatec shares from the Company's
Treasury Shares to participants in the June 2023 CSP was effected on 9 June
2026 in settlement of the CSP awards as follows:

   2) GRANT OF 2026 CSP

CSP awards in respect of Datatec ordinary shares have been granted to
participants on 9 June 2026 following approval by the Remuneration
Committee. The awards are subject to the Rules of the CSP and will vest
after three years, subject to the Group meeting the performance condition
set by the Remuneration Committee which is based on absolute TSR.

Executive directors and the company secretary have accepted CSP awards
granted, as follows:

*The face value of these awards is R74.45 per award, being the 30-day
volume weighted average share price on 26 May 2026, the date of the Group's
FY26 Results Announcement. On vesting and settlement of the CSP awards, a
further announcement of the total transaction value received by the
participants will be released on SENS.

Approval for the individual CSP awards to the directors and the company
secretary and clearance to deal has been given and these individual CSP
awards have been accepted, off market, today 10 June 2026.
