CHANGE TO THE BOARDS OF DIRECTORS AND BOARD COMMITTEE:
RETIREMENT OF DR CHRIS OTTO

In accordance with the JSE Listings Requirements and Debt and
Specialist Securities Listings Requirements, the Boards of Capitec
and Capitec Bank ("the Group")("the Boards") advise that Dr
Chris Otto, a founding non-executive director of the Group, will
retire from the Boards effective 31 July 2026. Chris has served
on the Boards since the Group's inception and has been
instrumental in the stewardship of the Group.

The Boards extend their gratitude to Chris for his dedication,
strategic direction and invaluable contribution to Capitec's
success.

Change to the Risk and Capital Management Committee

Chris will retire as a member of the Risk and Capital Management
Committee on 31 July 2026. Following his retirement, the
committee will comprise Stan du Plessis (Chairman), Nadya
Betthay, Naidene Ford-Hoon, Vusi Mahlangu, Piet Mouton and Grant
Hardy.
