RESIGNATION AND APPOINTMENT OF COMPANY SECRETARY
In terms of paragraph 6.71 of the JSE Listings Requirements, shareholders are advised that Mr. Simphiwe Mdluli has
resigned as Omnia's company secretary, with his last day in the role being 28 February 2026. Mr. Mdluli will continue in
the Omnia group as the executive responsible for Legal and Compliance. The board thanks Mr. Mdluli for his support
provided during his tenure.
The board is pleased to announce the appointment of Ms. Donna Dickson as Omnia's company secretary, effective
1 March 2026. Ms. Dickson is a seasoned company secretary with over 17 years' experience in legal, governance and
compliance roles. Ms. Dickson has served as the company secretary of various JSE listed entities. She holds a Bachelor
of Commerce in Law, LLB, a postgraduate qualification in General Management, and a Master of Business
Administration (MBA). In addition, she is a Fellow of the Chartered Governance Institute of Southern Africa,
underscoring her expertise in corporate governance and professional standards. She is also a member of the Institute of
Directors and a member of the Advisory Committee at the JSE.
The board is satisfied that Ms. Dickson possesses the requisite expertise and experience to fulfil the responsibilities of this
role in compliance with the JSE Listings Requirements and wishes her well in her new role.
