GAS INTERESTS

HCI is a 51.6% shareholder in Impact Oil and Gas Limited
("Impact"), a UK based oil and gas prospecting private company.

Impact, HCI (through its wholly owned subsidiary Deepkloof
Limited) and Meren Energy Inc. have agreed to the restructure
of Impact's interest in its South African licences and related
assets.
