RESIGNATION OF INDEPENDENT NON-EXECUTIVE DIRECTOR

In compliance with paragraph 6.71 of the Listings Requirements of the JSE Limited,
shareholders are advised that Mr Leon Lourens has resigned as an independent non-
executive director of the Company and, accordingly, from the board and from the board
committees on which he serves, with effect from 28 February 2026.

Mr Lourens has informed the Board that he is stepping down as independent non-executive
director to take on a full-time executive position

Leon's deep operational insight, strategic perspective and understanding of the discount
retail market have provided valuable guidance to the Company during a period of significant
growth and development.

The board expresses its sincere appreciation to Leon for his meaningful contribution to Boxer
and wishes him well in his future endeavours.
