FURTHER UPDATE REGARDING SHAREHOLDER ENGAGEMENT ON REMUNERATION POLICY AND IMPLEMENTATION REPORT

Shareholders of SPAR ("Shareholders") are referred to the results of the annual general meeting
("AGM") announcement published on SENS on Wednesday, 4 March 2026, wherein Shareholders were
advised, inter alia, that more than 25% of the votes cast by Shareholders present or represented by
proxy at the AGM were exercised against the endorsement of non-binding advisory resolution numbers
5 and 6, relating to the Group's remuneration policy and implementation report, respectively.
Dissenting Shareholders were accordingly invited to submit their comments / concerns / questions /
recommendations in writing to the Company.

The board of directors of SPAR ("Board") has since received constructive feedback from Shareholders
and remains committed to transparent engagement. In this regard, SPAR will host an
engagement meeting from 09:00 to 10:00 (SAST) on Friday, 24 April 2026 to engage further with
Shareholders on the Company's remuneration policy and implementation report.

Shareholders wishing to attend should confirm participation by no later than Friday, 17 April 2026 via
email to: Groupcosec@spar.co.za. A meeting link will be provided upon confirmation.

The Board values Shareholders' continued involvement in these governance matters.
