CHANGES TO THE CHAIRPERSONS OF THE PEPKOR AUDIT AND RISK COMMITTEE (ARC)
AND HUMAN RESOURCES AND REMUNERATION COMMITTEE (REMCO)

In accordance with paragraph 6.71(c) of the JSE Limited Listings Requirements and paragraph 6.42(c)
of the Debt and Specialist Securities Listings Requirements, the Pepkor board of directors wishes to
advise shareholders and noteholders of the following changes to the chairpersons of the ARC and
Remco, with effect from the conclusion of the Company's Annual General Meeting on 24 February
2026:

Ms Hester Hickey has stepped down as chair of the ARC. Ms Hickey will continue to serve as a member
of the ARC. Ms Zola Malinga, who has served as a member of the ARC since 1 June 2021, has been
appointed as chair of the ARC.

In addition, Mr Steve Müller stepped down as chair of the Remco and will continue to serve as a member
of this committee. Ms Nunu Ntshingila, who has served as a member of Remco since 15 November
2023, has been appointed as chair of Remco.

The changes were made with the objective of planning for succession.
