NOTICE OF BOARD CHANGES

In accordance with paragraph 3.59 of the JSE Limited Listings Requirements, shareholders are advised
that Mr Ronen Goldstein will resign as financial director of the company with effect from 31 May 2019.
During the 7 years that Mr Goldstein has been with Transaction Capital, he has fulfilled the positions
of group tax manager, company secretary and most recently, financial director. Mr Goldstein will
remain employed by the company until 31 August 2019 to facilitate an effective handover to his
successor. The board thanks Mr Goldstein for his valuable contribution to the company and wishes
him well in his future endeavours.

The board is pleased to inform shareholders of the appointment of Mr Sean Doherty as an executive
director of the company, in the capacity as chief financial officer with effect from 1 June 2019.

Mr Doherty is a Chartered Accountant (SA) having served his articles at Deloitte and Touche, holds an
MBA from IE Business School (Spain) and has completed an Advanced Management Programme from
Columbia Business School (USA). Mr Doherty has more than 20 years' experience in the financial
services industry, most recently holding the positions of head of new business innovation and
ventures, chief operating officer and chief financial officer of Standard Bank's Commercial and
Investment Banking Division.

The board welcomes Mr Doherty and looks forward to his contribution.

Following the abovementioned changes, the board will comprise seven non-executive directors (five
of whom are independent) and five executive directors.
