      CONVERTIBLE PREFERENCE SHARES (“PREFERENCE SHARES”)

            DECLARATION OF PREFERENCE DIVIDEND NUMBER 28

Notice is hereby given that on Tuesday, 31 March 2020, Netcare declared a
preference dividend (Number 28) of 407.69692 cents (gross) per preference share
for the period from 1 October 2019 to 31 March 2020, payable on Monday, 11 May
2020 to holders of the preference shares recorded in the books of the Company at
close of business on Friday, 08 May 2020. This dividend is inclusive of an amount of
1.01712 cents (gross) per share as a result of an interest rate adjustment to dividend
Number 27. The preference dividend has been declared out of income reserves.

In compliance with the requirements of Strate, the following dates are applicable:

Last date to trade “cum” the preference dividend        : Tuesday, 5 May 2020
(“LDT”)
Date trading commences “ex” the preference              : Wednesday, 6 May 2020

Record date                                             : Friday, 8 May 2020
Date of payment                                         : Monday, 11 May 2019

Preference share certificates may not be dematerialised nor rematerialised between
Wednesday, 6 May 2020 and Friday, 8 May 2020, both dates inclusive.

In terms of the Dividends Tax, the following additional information is disclosed:

1. The local Dividend Tax rate is 20%;
2. The net local dividend amount is 326.15754 cents per preference share for
   shareholders liable to pay the Dividends Tax and 407.69692 cents per
   preference share for shareholders exempt from paying the Dividends Tax;
3. The issued preference share capital of Netcare is 6 500 000 preference shares
   as at the date of declaration; and
4. Netcare’s tax reference number is 9999/581/71/4.
