ANNUAL GENERAL MEETING AND AVAILABILITY OF THE INTEGRATED ANNUAL REPORT

1. POSTING OF THE SUMMARISED CONSOLIDATED FINANCIAL STATEMENTS AND AVAILABILITY OF THE INTEGRATED ANNUAL REPORT

   Shareholders of Merafe ("Shareholders") are advised that the summarised consolidated financial statements
   of Merafe for the year ended 31 December 2023, accompanied by, inter alia, the notice of annual general
   meeting ("AGM"), ("Notice") were distributed to Shareholders today, 11 April 2024.

   Further to the publication of the Company's audited consolidated and separate annual financial statements for
   the year ended 31 December 2023 on the Stock Exchange News Service of the JSE Limited ("JSE") on
   Monday, 18 March 2024, available through the JSE cloudlink and on the Company's website at:
   https://www.meraferesources.co.za/results/annuals-2023/index.php, Shareholders are advised that the
   Company's 2023 integrated annual report containing, inter alia, the additional information required in terms of
   paragraph 8.62 of the JSE Limited Listings Requirements, is available on the Company's website at:
   https://www.meraferesources.co.za/reports/ir-2023/pdf/full-integrated.pdf.

2. NOTICE OF ANNUAL GENERAL MEETING

   Notice is hereby given that the AGM will only be accessible through electronic participation, as permitted in
   terms of clause 21 of Merafe's memorandum of incorporation and the Companies Act, No. 71 of 2008,
   at 11:00 on Wednesday, 15 May 2024, subject to any cancellation, postponement or adjournment, for the
   purpose of transacting the business as outlined in the Notice.

   The record date for Shareholders to be recorded as such in the securities register of Merafe ("Register") in
   order to be able to receive the Notice is Friday, 5 April 2024.

   The record date for Shareholders to be recorded as such in the Register in order to be able to attend, participate
   in and vote at the AGM is Friday, 3 May 2024. Accordingly, the last date to trade to be eligible to attend,
   participate in and vote at the AGM is Monday, 29 April 2024.
